The Service does not provide medical, mental health, legal, or financial advice.
AI can be wrong. You are responsible for your decisions and for verifying critical information.
Your content remains yours. We process it to operate, maintain, secure, and improve the Service, and to comply with law.
Subscriptions may auto-renew. Fees are generally non-refundable except where law requires otherwise.
We may suspend or terminate accounts for safety, abuse, or legal reasons.
Liability is limited (typically capped at what you paid in the last 12 months), subject to mandatory law.
This is a quick overview only. The Terms below are the binding agreement.
Terms of Service (Binding Agreement)
1. Parties; Acceptance
1.1 These Terms of Service (“Terms”) form a binding agreement between you and MaiForge Ltd. (“MaiForge,” “we,” “us,” “our”).
1.2 These Terms govern your access to and use of MaiEcho (the “Service”), including the website, web app, and related features.
1.3 By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an entity, you represent you have authority to bind that entity.
2. The Service; No Guaranteed Outcomes
2.1 The Service provides AI-powered reflection prompts, emotional support, and decision frameworks for high-performance individuals.
2.2 Outputs may vary by context, input quality, and system behavior. Outcomes are not guaranteed.
2.3 We may modify, suspend, or discontinue any part of the Service, with reasonable notice where practical.
3. MEDICAL & PROFESSIONAL DISCLAIMER (CRITICAL — MUST READ)
3.1 "MaiEcho is an AI-powered coaching and emotional support tool, NOT a licensed medical or mental health provider. The insights provided are for informational and self-growth purposes only. They do not constitute medical advice, diagnosis, or treatment. If you are experiencing a crisis or severe mental health distress, please contact a local emergency service or a certified professional immediately."
3.2 The Service does not provide emergency response services and does not replace any hotline, emergency number, or crisis resource.
3.3 You are responsible for seeking appropriate professional support when needed.
4. AI Limitations; Your Judgment
4.1 AI-generated outputs may be inaccurate, incomplete, outdated, or misleading.
4.2 You agree to use independent judgment and verify critical information, including decisions involving health, safety, legal, financial, or other high-stakes matters.
4.3 The Service is a tool for reflection and decision support and does not provide professional advice of any kind.
5. Eligibility; Account Registration; Security
5.1 You must be 18+ (or the age of majority where you live, whichever is higher) to use the Service.
5.2 You agree to provide accurate registration information and keep it current.
5.3 You are responsible for safeguarding your credentials and for all activity under your account. Please contact us promptly if you suspect unauthorized access.
6. Subscriptions; Billing; Refunds; Digital Services Consent
6.1 The Service may offer paid subscriptions (“Subscription”). Features, pricing, and plan terms may change subject to notice.
6.2 Auto-renewal. Subscriptions typically renew automatically unless canceled before the renewal date.
6.3 Payment processing. Payments may be handled by third-party processors. Taxes may apply.
6.4 Failed payments. If payment fails, we may retry, suspend features, or downgrade access until payment is completed.
6.5 Refunds. Fees are generally non-refundable, except where refunds are required by applicable law or expressly stated in a written offer.
6.6 Digital content / online services; consent to immediate performance. Where permitted by law, if the Subscription (or any paid feature) provides digital content or an online service that begins immediately upon purchase, you expressly consent to immediate performance and acknowledge that you may lose any statutory withdrawal/cooling-off right that would otherwise apply. Where required, this consent and acknowledgement will be collected through a clear checkout confirmation.
7. User Content; Data Ownership; License
7.1 “User Content” means text, prompts, inputs, files, and other materials you submit to the Service, and outputs you choose to save within the Service.
7.2 You retain ownership of your User Content, subject to third-party rights.
7.3 You grant MaiForge a limited, worldwide, non-exclusive license to host, store, process, transmit, and display User Content for these purposes:
(a) provide, maintain, troubleshoot, and improve the Service,
(b) maintain safety and security,
(c) prevent abuse and enforce these Terms, and
(d) comply with legal obligations.
7.4 You represent you have the rights needed to submit User Content and grant the license above.
7.5 AI outputs; similarity. The Service may generate outputs that are similar to content generated for other users. We do not guarantee outputs will be unique or exclusive. You remain responsible for reviewing outputs before acting.
8. Intellectual Property; Feedback
8.1 The Service (including UI, design, workflows, algorithms, and prompt systems) is owned by MaiForge or its licensors.
8.2 You receive a limited, revocable, non-transferable right to access and use the Service while you comply with these Terms.
8.3 Feedback may be used by us without restriction or obligation, including to improve the Service.
9. Prohibited Conduct
You agree not to:
9.1 Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or system prompts.
9.2 Scrape, crawl, harvest, or automate extraction at scale except as expressly permitted in writing.
9.3 Attempt model extraction, prompt theft, prompt injection, jailbreaks, or bypass safety controls.
9.4 Use abusive, harassing, hateful, violent threatening content, or content promoting self-harm or harm to others.
9.5 Upload sensitive personal data of others without lawful authority and consent (including IDs, medical records, financial account data, private communications, or precise location data).
9.6 Interfere with or degrade Service performance, security, or integrity.
10. Third-Party Services
10.1 The Service may rely on third-party providers (e.g., hosting, AI model providers, databases, analytics, payment processors).
10.2 Third-party services may have separate terms and policies.
10.3 We are not responsible for third-party outages, changes, or losses caused by third-party services, except where liability cannot be limited under mandatory law.
11. Privacy
11.1 Our collection and use of personal data is described in our Privacy Policy and related notices.
11.2 Controls are implemented to reduce risk and protect data; residual risk exists in any system.
12. Suspension; Termination
12.1 You may stop using the Service at any time.
12.2 We may suspend or terminate access if we reasonably believe: (a) you violated these Terms, (b) your use creates safety/security/abuse risk, (c) we must act to comply with law or authorities, or (d) your account shows fraudulent/unauthorized indicators.
12.3 Certain sections survive termination (including Sections 3–4, 7–10, 12–15).
13. Disclaimers
13.1 To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE.”
13.2 We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
13.3 We do not warrant uninterrupted operation, error-free outputs, or that the Service will meet your requirements.
14. Limitation of Liability
14.1 To the maximum extent permitted by law, MaiForge will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
14.2 To the maximum extent permitted by law, MaiForge’s total liability arising out of or related to the Service will not exceed the amount you paid to MaiForge for the Service in the 12 months immediately before the event giving rise to the claim.
14.3 Mandatory consumer protection laws may provide rights that cannot be limited; these Terms apply only to the extent permitted.
15. Changes to Terms
15.1 We may update these Terms from time to time.
15.2 We will provide notice by reasonable means (e.g., in-app notice, website posting, or email where available).
15.3 Updated Terms become effective on the stated effective date. Continued use after that date indicates acceptance.
16. Governing Law; Venue
16.1 These Terms are governed by the laws of Taiwan (ROC), excluding conflict of laws rules.
16.2 Disputes shall be subject to the jurisdiction of the Taipei District Court as the court of first instance, except where mandatory law provides otherwise.
